These Terms of Service ("Terms") govern your access to and use of Superproxy, including our website, web application, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you must not use the Service.

1. Eligibility & Account Registration

You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding contract to use the Service. When you create an account, you must provide accurate, current, and complete information and keep your account details up to date. You are responsible for safeguarding your credentials and for all activities that occur under your account.

2. Subscription, Fees & Billing

Superproxy is offered on a subscription basis. By subscribing, you agree to pay all applicable fees, taxes, and charges associated with your plan ("Subscription"). Unless otherwise specified, subscriptions renew automatically at the then-current rate until cancelled.

  • Billing. You authorize us and our payment processors to charge your provided payment method on a recurring basis.
  • Changes to Pricing. We may adjust pricing for future billing cycles. We will notify you of any material price changes in advance.
  • Refunds. Except where required by law or explicitly stated otherwise, all fees are non-refundable.

3. Use of AI, Voice & Telephony Features

Superproxy provides AI-powered features such as conversational sales agents, voice cloning, call automation, email generation, and analytics. You acknowledge and agree that:

  • You are solely responsible for obtaining all necessary consents and permissions from your customers and contacts before initiating AI-driven calls, messages, or recordings.
  • You will comply with all applicable laws and regulations, including marketing, telemarketing, do-not-call rules, recording laws, and data protection regulations in each relevant jurisdiction.
  • AI outputs may be inaccurate, incomplete, or inappropriate for certain use cases. You remain responsible for reviewing and validating critical communications and decisions before acting on them.
  • Voice cloning features must not be used to impersonate individuals without explicit, lawful consent.

4. Customer Data & Privacy

In the course of using the Service, you may upload, store, or otherwise make available information such as customer records, quotations, transactions, call recordings, and other content ("Customer Data"). You retain all rights to Customer Data, subject to the limited license granted to us below.

You grant Superproxy a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and use Customer Data solely as necessary to provide, maintain, secure, and improve the Service, and as otherwise permitted by our privacy practices. You are responsible for ensuring that you have all necessary rights, permissions, and legal bases to upload and process Customer Data through the Service.

5. Acceptable Use

You agree not to, and will not permit others to:

  • Use the Service in violation of any applicable law, regulation, or industry standard.
  • Use the Service to send spam, unsolicited or deceptive communications, or to engage in abusive or harassing behavior.
  • Interfere with or disrupt the integrity, performance, or security of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, or attempt to derive source code from any part of the Service, except to the extent such restriction is prohibited by law.
  • Misrepresent your identity or affiliation, or use the Service to deceive, impersonate, or defraud others.

6. Third-Party Services & Integrations

The Service may integrate with third-party products and services such as telephony providers, email services, AI model providers, and payment processors. Your use of those third-party services is governed by their respective terms and policies. We are not responsible for the acts, omissions, or performance of third-party providers.

7. Intellectual Property

Superproxy, including all software, interfaces, designs, logos, and related technology, is owned or licensed by us and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you in or to the Service or any related intellectual property.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will Superproxy, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use or inability to use the Service.

Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the total amount paid by you to us for the Service during the twelve (12) months preceding the event giving rise to the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, if you violate these Terms, if required by law, or if continuing to provide the Service could create risk or harm to us, the Service, or other users.

Upon termination, your right to access or use the Service will cease, but certain provisions of these Terms that by their nature should survive will remain in effect, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution terms.

11. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them or the Service will be governed by and construed in accordance with the laws applicable in the jurisdiction where Superproxy is organized, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, unless otherwise required by applicable law.
